Get Placed SEO Recitals & Responsibilities
1. Get Placed SEO will initiate the SEO process upon receipt of initial payment and Website login access to website (or contact information to client’s current Webmaster).
2. Get Placed SEO will perform organic SEO to assist client in achieving desired placement within the major search engines (Google, Yahoo!, and BING).
3. Get Placed SEO will provide client with monthly SEO performance reports.
4. Get Placed SEO will provide service on a Month-to-Month basis.
5. Get Placed SEO will provide content writing (or re-writing) to compliment newly written HTML coding.
6. Get Placed SEO will provide all duties listed within specific LEVEL OF SERVICE which client has purchased.
7. Get Placed SEO will provide ongoing support and recommendations.
Client Recitals & Responsibilities
1. Client is to provide Get Placed SEO with direction and focus of the campaign.
(i.e. target products & services / target areas where products & services are offered, etc.)
2. Client is to provide Get Placed SEO with Website Login access or current Webmaster contact information.
3. Client is to provide Get Placed SEO a list of ANY websites associated or linked to the website in which we are performing services.
4. Client agrees not to overwrite the optimization performed by Get Placed SEO. If this occurs, the search engine placement guarantee is voided and there will be a charge of up to $100.00 per page to re-optimize the website.
Terms of the Contract
Both parties assume all sections of this agreement to be valid and complete for described project.
Performance Guarantee
Get Placed SEO will be granted 2 Index Cycles (90 days) from the onset of the optimization to allow the necessary time for the search engines to crawl the newly optimized website. In the event that your website does not obtain multiple page one and page two listings within the major search engines (Google, Yahoo!, and BING) by the 90th day of service, Client will be entitled to a full refund.
Confidentiality
All research and data gathered and archived by Get Placed SEO is proprietary, and will remain proprietary during and after the life of the contract. Data remains property of Get Placed SEO, Inc.
Default
Client understands that if their service has been terminated for non-payment or that they have overwritten the optimization in any way, their rankings in the search engines will be affected. (Refer to Termination of Service)
Client understands that any unethical SEO tactics performed prior to becoming a client of Get Placed SEO may result in suspension or banned status within the search engines. Client agrees not to hold Get Placed SEO responsible for such negative results. Get Placed SEO will make every attempt to resolve the issue and aid client in obtaining front-page listings for their website. In the event of previous unethical SEO performed on clients URL, the 90-day 100% Money Back Guarantee will not be valid.
Termination of Service
Client may cancel our services at any time by mail, email or via phone with their intent to cancel. The client must obtain a cancellation authorization number in order to cease all billing activity. There will be no prorated refund for clients paying monthly. Part of the cancellation process, if the client has been with us less than 12 months, includes removing the proprietary coding specific for the clients industry that was provided and/or installed by Get Placed SEO. Get Placed SEO reserves the right to sell our services to a competitor once the cancellation is complete. If the coding is not removed, Get Placed SEO will not be able to provide service to others and the billing will continue until removed.
Get Placed SEO reserves the right to terminate any existing client’s service at no penalty if the business’ behavior fits into the following characteristics:
- Account reaches delinquent status, three (3) or more times
- Delinquent status defined as not paying invoices within 10 days of receipt
- Failure to work with Get Placed SEO representative in regards to budget recommendations.
- Failure to comply with Get Placed SEO representative in providing proper information in regards to initial setup of account.
- Unable to comply with web standard practices in conducting a legitimate means of web presence.
In the event a client is terminated, Get Placed SEO reserves the right to sell our services to a competitor once the cancellation is complete. If the coding is not removed, Get Placed SEO will not be able to provide services to others and the billing will continue until removed.
Disputes and Legal Action
In the event customer is dissatisfied with any services provided, customer is obligated to allow Get Placed SEO 14 (fourteen) business days and cooperation to rectify the complaint of claimed unsatisfactory service. Customer shall not be entitled to any refunds unless Get Placed SEO has failed to perform its required services or after having been given 14 days (fourteen days) to correct a deficiency, and has failed to do so.
This Agreement shall be governed by Florida law and the venue for litigation shall be in Broward County, Florida.
In the event any legal action needs to be taken to enforce the provisions of this agreement, the prevailing party shall be entitled to reasonable attorney’s fees and costs, whether or not a lawsuit is filed.
Before commencing any lawsuit, the parties shall first submit themselves to mediation within 30 days of a demand thereto.
